Metaphor Brands is a marketing and communications agency offering digital and offline services, including but not limited to brand identity and branding, data analytics, performance marketing, social media marketing, business optimization, and software and web development (collectively, the “Services”).

Use of the Website constitutes acceptance of these Terms in full. We may update these Terms from time to time, as described in Section 13. Continued use of the Website after any changes take effect constitutes acceptance of the revised Terms.

The Website and Services are intended for businesses and individuals acting in a professional capacity. By using the Website or engaging our Services, you represent that you have the legal capacity to enter into a binding agreement, whether on your own behalf or on behalf of the organization you represent.

You agree to use the Website only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Website by, any third party. Prohibited activities include, without limitation:

• Attempting to gain unauthorized access to the Website, our systems, or any related network.

Specific projects, deliverables, timelines, fees, and payment terms are agreed separately with each Client through a proposal, quote, statement of work, or contract (a “Service Agreement”). In the event of any conflict between these Terms and a signed Service Agreement, the Service Agreement will prevail with respect to the matters it covers.

We reserve the right to accept or decline any project request at our discretion.

Unless otherwise agreed in writing, fees, invoicing schedules, and payment terms for Services are set out in the applicable Service Agreement or invoice. Late payments may be subject to the suspension of ongoing work and to late-payment interest or fees as permitted by applicable Romanian law.

Unless otherwise stated, all content on the Website — including text, graphics, logos, images, videos, and software — is the property of Metaphor Brands or its licensors and is protected by applicable intellectual property laws. You may view and print pages from the Website for personal, non-commercial reference only. No other use, including reproduction, modification, distribution, or republication, is permitted without our prior written consent.

Ownership and licensing of deliverables created for a Client as part of a paid engagement (such as designs, campaigns, code, or content) are governed by the relevant Service Agreement. Unless expressly agreed otherwise, we retain the right to display completed work in our portfolio and marketing materials.

The Website may contain links to third-party websites or services that are not owned or controlled by Metaphor Brands. We are not responsible for the content, privacy practices, or terms of any third-party site, and inclusion of a link does not imply endorsement.

In the course of providing Services, we may receive confidential or proprietary information from Clients. We agree to use such information solely for the purpose of performing the Services and not to disclose it to third parties, except as required to deliver the Services, as agreed with the Client, or as required by law.

The Website and its content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Website will be uninterrupted, secure, or error-free, or that any results (including marketing or business outcomes) will be achieved through use of our Services, as such outcomes depend on factors outside our control.

To the maximum extent permitted by applicable law, Metaphor Brands shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Website or our Services. Our total aggregate liability for any claim arising from a Service Agreement shall not exceed the total fees paid by the Client for the specific Services giving rise to the claim, unless otherwise agreed in writing.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable Romanian law, including liability for fraud or willful misconduct.

You agree to indemnify and hold harmless Metaphor Brands, its founders, employees, and collaborators from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Website or Services.

We may revise these Terms at any time by updating this page. Material changes will be indicated by updating the effective date above. Your continued use of the Website following any changes constitutes your acceptance of the revised Terms.

We reserve the right to suspend or restrict your access to the Website at our discretion, without notice, in cases of suspected misuse or violation of these Terms. Termination of a specific engagement is governed by the terms of the applicable Service Agreement.

These Terms are governed by and construed in accordance with the laws of Romania. Any dispute arising out of or in connection with these Terms or the use of the Website shall be subject to the exclusive jurisdiction of the competent courts of Romania, unless otherwise agreed in a specific Service Agreement.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Information about how we collect, use, and protect personal data submitted through the Website is set out separately in our Privacy Policy. The Privacy Policy forms part of, and should be read together with, these Terms.
